I spoke for some time with Chris Sergeant yesterday afternoon. I asked several very pointed questions and the answers were as follows.

I. Is there any truth to the rumor that another 30 million shares will be issued as part of the financing?

Answer. That is the first time I have heard that one, but there is no truth to it at all. The financing arrangement being worked out will actually decrease the number of shares outstanding . ( No explanation of how many or how that will be done)

2. How is the financing coming?

Answer: Should be complete within the next few days.

3. Is there revenue coming in now?

Answer: Yes and we have cut expenses considerably. The operation in Denver has been taken over by BTC and this reduced our outlays by a lot.

4. Who is in charge now? Is it Tom?

Answer: Yes Tom has taken over and the move of the Hqs to Las Vegas is complete. The shareholders meeting should be there in late May or June.

5. What is the story on the venture in Great Britian?

Answer: Parti Max has been accepted and this is a done deal. Installations are or will be occuring soon. This should generate considerable revenue.

6. The new company worries some of us. Will we be share holders.

Answer: This company was formed to handle this one joint venture only and profit will be shared by the two parent companies. Sort of like a wholly owned subsidiary.

7. Are you still expecting to be profitable in the third quarter?

Answer: Yes we are still hoping for that.

By the way. When I called the phone was answered by a pleasant young lady who advised that Chris was away from his desk and that she would have him call me back. I received his return call within 15 minutes.

This talk of not being able to communicate with those poeple is a bunch of hooey.

Good luck, fellow share holders Art
