Global Marine filed Thursday a shelf offering with the Securities and Exchange Commission for up to $425 million in debt securities and preferred and common stock. The offering will be registered under the SEC's Rule 415 (commonly called a shelf registration), which allows the issuer to offer to sell them on a continuous or delayed basis. A shelf offering just means that the related company is filing for the right to issue shares or debt by some specified time.
