Why do you think Par is unwilling to resign?

If, as you suggesting, his departure means more prosperous future for the company, and hence better stock price, this will benefit him the most. If this was true why wouldn't he resign. Is it just a matter of ego, or others (divison presidents, board members, etc.) close to him see him as an effective leader, and therefore do not see him as a problem. It will be interesting to know these things from some one who is close to the company and has an objective point of view.

Unfortunately, it seems that David Pawlak may have lost some interest in the company as well. I have not seen many informative posts from him recently. I hope he is busy in other things that are keeping him from participating here. I hope one of these days he will update us about any positive developments, if any, taking place in the company.

I am pleased to announce my availability to serve you, the shareholders of Osicom, in the manner that you truly deserve. I seek a position as director, and as CEO, to replace Par Chadha. As you know, over the past several quarters, this company has completed a number of acquisitions. Many of these acquisitions were ill-advised, though a few of them have indeed brought exciting new technologies and properties to Osicom. Sadly, despite continued promises of market acceptance and penetration, the current leadership of the company has been unable to deliver significant sales from the new product offerings. As your new director and CEO, I would strive to take full advantage of the company's technological leads, by capturing market share before our competitors can enter these markets.

I would further recommend that Par Chadha's other current positions, as Chairman of the Board, and as President, be filled, respectively, by Renn Zaphiropolous, and by Emil Sanielevici.

As far as my qualifications, I am an electrical engineer, with experience in many different industries. I hold professional registration in several states. I am regarded as a self-starter, intelligent, conscientious, and hard-working. I have high moral values, and have never bankrupted any company.

The qualifications of Mr. Zaphiropolous are well-known, as a cofounder of VersaTec, a well-known manufacturer of electrostatic plotters (now a division of IBM), which quickly captured market share from the earlier generation of pen plotters.

Mr. Sanielevici, known to many by his nickname, "Grand Elf," would greatly benefit Osicom through his intelligence, youthful exuberance, and excellent communication skills.

Please do not delay to write to the Osicom's secretary, John Gorman; Osicom Technologies, Inc.; 2800 28th Street; Santa Monica, CA 90405, as follows:

"I, (state your name as it appears on the stock certificate), the owner of (##,###) shares of Osicom Technologies, Inc. ('the Company'), demand that Par Chadha be immediately removed as director, President and CEO of the Company, as provided for in the Company's By-Laws. A special election shall then be held within 30 days, to elect a replacement director, and the revised board shall then immediately appoint a qualified management team. I hereby nominate Charles S. Stein, a shareholder of the Company, to fill the vacant position as director."
