"somebody was really trying to keep it below 40.5 - they succeeded."

That kind of puts us in a weird bind, doesn't it?

We've got Morgan Stanley et al trying to keep us around this level, and if they fail, we get a 5 million share dilution which will probably put us back to this level.

A straight line interpolation of 37.50 during the first year to 44 in the fifth year gives us a trigger price of 40.75 for this year. If that's the case, then today broke the string. That'll take the pressure off for 6 weeks, and I don't see anyway MSCO can keep the stock at these levels for that long. I guess we look for another 5 million shares about the end of June.

Wish Reagan would come out and say SOMETHING, just so we know what he's thinking.

<..My take is today's close was sufficient to break the string of consecutive trading days and if that is a reason the stock is down, then that pressure should ease. When we tried to come back this afternoon after the news release somebody was really trying to keep it below 40.5 - they succeeded...>

MY read was that the pressure was trying to keep it below 40, and it failed.

Do you or anyone out there have a copy of the '95 prospectus Cnvrt prospectus. Otherwise we'll need to get this directly from WCII.

I'll try tomorrow unless someone has access to this.
