UNDERWRITERS FOR TRI-VISION FINANCING EXERCISE OVER-ALLOTMENT OPTION

1998-05-05 TORONTO, ONTARIO

Najmul Siddiqui, President & CEO of Tri-Vision International Ltd./Ltee, is pleased to announce that CIBC Wood Gundy Securities Inc., Midland Walwyn Capital Inc. and Yorkton Securities Inc., the underwriters for the company's public offering of units completed on April 2, 1998, have exercised their over-allotment option in full and acquired an additional 720,000 units of the company for gross proceeds of $1.8 million.
On April 2, 1998 the company completed the sale of 4,800,000 units to the underwriters for gross proceeds of $12 million. The units were sold at a price of $2.50 per unit with each unit consisting of one common share and one common share purchase warrant. Each warrant entitles the holder to acquire one additional common share of Tri-Vision at a price of $3.00 until 5:00pm (Toronto time) on September 29, 1998.

Proceeds of the offering, including proceeds from the exercise of the over-allotment option, will be used to finance the production, marketing and sale of the company's V-chip technology products.
Established in 1986, wholly-owned subsidiary Tri-Vision Electronics Inc. is a leading supplier of high technology products to the global cable television and multimedia industries.
