Once they decided on an ipo it can take a while. THe SEC is VERY strict in how IPOs can come to market. 1)they find a Investment Bank to bring them out(just as a side note with the Monty-Robbie stephans merger smaller companies need to start looking for newer less well known IBs this might take more time.) 2) file all the wonderful dead tree piles with the sec, red herrings etc. once this is all done 3) The cooling off period is if I remember correctly from my licenseing test, 30 days, but anytime during those thirty days either the company or the SEC can freeze the period for adjustments to the 10ks etc... 4) once they cooling off period is ended then the company and its IB can make the offering whenever they want. This whole proccess I see taking 6 months at the inside and 1 year on the outside. If at all :)
