ICC TECHNOLOGIES (ICGN) 4 1/16 +1 23/32. In the search for the latest, greatest Internet play, traders/investors
have come across ICC Technologies, a Hatboro, PA-based designer of Internet... No, ICGN is not an Internet company at
all, its focus is designing and manufacturing environmentally beneficial and energy efficient climate control systems. However,
with the announcement today that the company is set to acquire Web design firm, Rare Medium Inc, ICGN has successfully
entered the realm of high-flying Internet stocks (at least for today). But, beyond the hype, there is at least one truly aspect to
this deal: the price. ICGN said it will pay $45 million in stock, cash and notes to acquire Rare Medium. If Rare Medium is
correct in its prediction that it will log 1998 revenues of in excess of $10 million and also report a profit, then ICGN has
really gotten this company for a steal. Right now, there are Web design firms that are trading at 10-12 times forward
sales. Based on the $45 million value of this deal, ICGN is acquiring the company for only 4.5 times sales. Moreover, not
only does this deal almost double ICGN's market-cap, but it provides the company with a dramatic jump in revenues. For all
of 1997, ICGN logged revenues of only $412,000, which was actually down from 1996 revenues of $688,000. You can be
sure, ICGN realizes what it has gotten its hands on. Already, the company is preparing to change its name and stock symbol
"to better reflect its new focus on the Internet Industry." Since we posted the news of the deal on "In Play," ICGN shares
have added an additional 28%. For those thinking of making a play on this stock, you should be aware that stocks such as
ICGN are extremely volatile and are apt to fall sharply once short-term traders begin to take profits.
