Here is the release: OTTAWA, April 16 /CNW/ - JetForm Corporation (Nasdaq:FORMF), (TSE:JFM) the global leader in enterprise workflow and electronic forms solutions, today announced that it has closed its offering of 2.2 million special warrants at $US21.25 per special warrant, for aggregate gross proceeds of $US46.75 million. The special warrants were purchased by Canadian institutional and individual investors through RBC Dominion Securities Inc., Midland Walwyn Capital Inc., Goldman Sachs Canada and TD Securities Inc. Each special warrant is exercisable without payment of additional consideration for one common share, provided that the Company obtains receipts for a final prospectus qualifying the common shares for resale in Canada within 90 days; otherwise each special warrant will be exercisable for 1.1 common shares. The total number of common shares, preference shares and special warrants currently outstanding is approximately 19.6 million. The special warrants and the underlying common shares are not registered under the US Securities Act of 1933 and may not be offered or sold in the United States or to U.S. persons unless an exemption from such registration is available.
