They both have a P6 "core", and are both on a cartridge for slot 1. In fact, if you look at the cartridge for Pentium II or Celeron, it says Pentium II. So, the cartridge is the CPU. Celeron doesn't have L2 cache. This was done by Intel "peeling" 5 chips off a "full strength" PII: 4 SRAMs and an SRAM controller (they comprise the L2 cache). Another key difference re P6 is that P6 does not have MMX, whereas all PII's do.

BTW, Celeron does have L1 cache, which is more than enough cache, period, for most business and home PC's, in spite of the cacophony of noise being spread by a lot of people who do not know what they are talking about.
