[ ACCUF ] Ray, "...Under the agreement, ACCUF agreed not to solicit other offers and to pay to Architel Systems a fee equal to $1,500,000 plus expenses not to exceed $400,000 if the transaction is not completed due to a competing offer..." Looks like their hands are tied if they plan on backing out of this one. And with it being this small, it's going to be a painful move. It looks unlikely that the deal will dissolve. Regards, Rainier
