To All! Repost of conference call notes (from Yahoo): The conference call started promptly at 3:05 CDT. From the start, we were warned that Rene could only participate for thirty minutes before having to attend a "last minute" important meeting. I'm Chino Valley dreaming... I thought the call went well. Apparently, the meeting really was "last minute" as the altered intro was bumbled by a nervous female moderator. I would suggest to Continental Capital that they do a better job of announcing broker name AND FIRM NAME. This was not done once by the moderator. The only two firms identified were mentioned by the brokers- MSDW and First Liberty. 1)Rene opened by discussing the Dillon Consulting report. This thirty page report will be used to secure non-recourse debt financing from lenders. Apparently, Dillon is well thought of by USF and the two companies have worked together before. When asked by the host, Mark Abernathy "Anything we might expect in the near term in regards to financing?" Rene replied "we are expecting next week on releasing term sheets for at least a minimum of two, maybe three plants." When asked later in the call where the three plants would be located he responded "two in Ontario and one in the Big Apple." 2) Regarding USF, he said "The lawyers now have achieved a confidentiality agreement and outline of the agreements for the JV procurement or contract to move ahead and they are preparing the final draft . We're expecting to sign that very, very shortly. USF needed the Dillon report to open up some other areas besides the state of Massachusetts." Like the Big Apple? :-) 3) When asked about the current status of the Trooper lawsuit, he said "Trooper's lawyers tried to get an early reading on their judgement last week. It was postponed 'til May 21. TTRIF shareholders will start to see the outcome of a pro-active program that we've got lined up for Trooper." 4) As to the Thermo Agri and Thermo Enyzme stock spinoffs, Rene said he was not handling this directly, but everyone should be expecting spinoffs in "May to June". 5) Regarding the convertible debentures, he said he was 99.99% sure all was completed. "Probably looking at yesterday and today as one of the largest indications." 6) Stothert Engineering has targeted July 26, 1998 as the grand opening date for Richmond (I'll be there!). In addition he said "Ambrose and Company (Ontario Thermo) is basically getting involved not only in our Ontario operation, but they'll be assisting us in the Richmond construction to make sure we meet the deadline." 7) Concerning 100% owned TMPs, he surprised me saying "Richmond, B.C. is 100% owned and the New York plant we're working with will be 100% owned at this point. So we did have to do a joint venture for the first Oshawa and Niagara, but our objective is to have as many 100% owned plants as we (can) get." 8) The 300 TPD upgrade at Hamilton should be completed by May 15th- end of May at the latest. "We had a temporary delay with receiving some fans. I understand the problem has been resolved." 9) Concerning overseas business, he said we have two letters of intent in Korea and "we have some very interesting news that we should be announcing within a max of a month on the international side. And that's going to be really a footprint on how we're going to do business in Europe!" 10) Regarding our technology lead he said "we have no competition in high temperature fermentation process. To our knowledge, no one has started (to try to catch up)." 11) Because the 500 TPD upgrade at Hamilton will bring the company into the black, he said it should not be necessary to draw down ANY MORE convertible debentures. 12) Before leaving for the "last minute" meeting Rene said "So at this point in time, I do have to go...you will hear why very shortly...I will turn it over to good looking Ed (Kroeker)."
Ed Kroeker then answered additional questions wishing to defer to Rene on later conference calls regarding Thermo Enzmyes and Thermo Agri questions. 13) Concerning the Trooper lawsuit, Ed said "The facts on the whole case are going to be coming out very, very quickly and it will be very much to the benefit of the shareholders of TTRIF." 14) "We actually have five projects about to get underway in the state of Washington." 15) "I spent most of yesterday with the Discovery Channel. They read about TTRIF in The Globe & Mail. The show will air during prime time, at 7:00 to 8:00 PM and again at 11:00 PM. The producers have told me it will be sometime in the next few weeks. They don't know the exact time yet." 16) The 400 TPD Hamilton expansion will be completed in "max of two months". 17) Someone asked "What is the potential in the next 6 to 12 months with USF?" Ed replied that USF had identified 12 plant locations in the NE United States alone. He stressed "USF is only one company of this nature...they need us more than we need them. We provide the most cost effective approach for sludge management which constitutes up to 50% of the cost of sewage treatment. So, every company that's involved in contract operations of sewage treatment plants needs a TMP like this." 18) The final question asked of Ed was "Are your suppliers capable of kicking out equipment for these plants for construction on an accelerated basis as you move down the road?" His reply ..."All the equipment in these plants are what I call shelf items. There is nothing that has to be uniquely manufactured for a TMP, so there are multiple suppliers for every piece of equipment in the plant." 3:35 PM CDT End of Conference Call Regards, David Pickering
