That 4:1 ratio was just thrown out as an example at the time. It is not set in stone. It will be determined when/if we merge with them. For example, today we have FAMH at .63 and ATXI at 1 11/16. That is 2.7 to 1. The gap seems to be getting more narrow.

The VALUE of a STRONG stock is only a question of the EPS time the mutliple which is market determined. Once FAMH is fully discovered it WILL get the appropriate multiple.

But back to the question: Let's use 40 million shares for ease of use:

If there are 40 mill shares: EPS (1997) is 0.05; stock price $1.25

If there are 10 mill shares (1:4 reverse merger): EPS (1997) is 0.20: stock price is $6.00. BUT, since you own 4x less shares the shareholders VALUE is the SAME.

PLEASE NOTE: There are VERY ballpark MINIMUM figures. But with the confidence of the Myriad close I still think $1.25 is a VERY reasonable price. With financial a $5.00 (pre-merger) price is entirely reasonable also.

Dave, No I do not think we will still be looking at a 4 to 1 exchange, if the price goes to $1.00. At least not according to the CC yesterday. It sounds like we will see a smaller share exchange if the price of FAMH is higher.

I don't know if you listened to the CC call yesterday or not. Here are my notes:

I don't think we will have to meet a $4.00 share price, if ATXI is acquiring FAMH.

FAMH is now a $75 million company and I think we might see $4.00, even if the share exchange is less than the 4 to 1. I think it is very possible that it will be be less than a 4 to 1 exchange, maybe a 2 or 3 to 1.

If FAMH'S price keeps increasing and ATXI's keeps declining, who knows maybe we will see a 1 for 1 exchange.
