Is the IPO of Digital river supposed to be coming out soon? Is this just a rumor or just a matter of time that the IPO will be done?

IMHO: I think the IPO will be as hot as DCLK or other internet companies that have recently IPO'd. Their business has been expanding at a very rapid rate and they have signed many of the big companies to sell through them. I don't see how it could not be huge.

Authorized v. issued?

John, are you using "authorized" in a general or restricted sense? If in the restricted sense, I woulnd't care how many were authorized, all companies authorize many more shares than are issued. My own private practice is a Subchapter S-corp, we authorized 1 million shares in 1985, just issued 3,500 <g>.

BTW, TSQD has the option to buy the 4.8 million shares at $1. CEO Joel Ronning was the personal owner of DR stock, that's what he paid for it, so he is "giving" it to TSQD.

To0 finally answer your question about shares authorized for DR (in the strict definition), I don't know!

It is my understanding that Joel Ronning's main interest in Digital River is through his ownership of TSQD stock. Therefore it would be in his best interest to have as little dilution as possible with the IPO. I would assume (and hope) that the interest remains at a minimum of 20%. In the latest press release the company uses 28% as TSQD's current interest in DR.
