Dave,
In preparation for the merger, they filed an 8-K today which gives pro forma financial statements for the 1996 and 1997 fiscal years reflecting the combination of the Company with American Explorer.

Pretty complicated, but does show the end of '97 book value was
$25,738,202, in agreement with your number.

Yes the 8K filing does show the Pro Forma balance sheet for the two
companies. It is available from the Optima web site and Edgar and of
course the SEC. The merger is proceeding as planned with approval from the SEC in the next few weeks. Once we have the green light from the
SEC we will release more information on the union between OPP and AMEX
and what it all means to the shareholders. Its a quiet period and we'll tell more as soon as we can. Please call or e-mail if you have
