================================================

- A number of companies may not meet their target dates, especially when they begin to test their systems. Major glitches can occur, causing higher than budgeted costs and slippage in meeting target dates.

- A large number of second-tier companies still believe they will be rescued by their software providers or by some other magical fix.

- These same companies may be suppliers, distributors, or customers of Year 200 ready companies, but their interactive electronic systems will not work. The results could be chaotic.

- A number of government agencies are failing the readiness test.

- The global picture is not encouraging. Many of our trading partners will not be Year 2000 ready.

- The first significant law suits are now being filed,, Wall Street can easily become embroiled in stockholder actions.

- Embedded systems can be a time bomb shutting down major systems affecting health, safety, and security.

- MIS time and resources are being diverted to Year 2000 projects, cannibalizing other developmental work and potentially causing companies to lose a competitive edge.

No investor or securities analyst can ignore these issues because they will affect the re-allocation of financial resources to Year 2000 ready companies and away from the non-ready.

"Ready-or-Not" will be a significant basis for future investment decisions.
