THQ Signs Deal to Acquire GameFX Inc

CALABASAS, Calif.--(BUSINESS WIRE)--April 20, 1998--THQ Inc. (Nasdaq/NM:THQI) Monday announced that it has signed a definitive agreement to acquire GameFX Inc., an applied technology company focused on the development of interactive entertainment software utilizing proprietary 3-D acceleration technology.

Consideration for the transaction is approximately 250,000 shares of THQ common stock plus $600,000 in cash. The deal is subject to approval by the board of directors of THQ and is scheduled to close within thirty days.

GameFX, located in Arlington, Mass. -- a part of Boston's high-tech community -- is currently developing a proprietary product for the PC which is scheduled to be published by THQ in late 1998 or early 1999. The game showcases 3-D accelerated graphics rendered in real-time that are visually stunning, and a storyline and gameplay featuring combat in space utilizing fantastic ships and weapons.

GameFX has been featured in Next Generation magazine and Game Developer magazine.

C. Noah Davis, president of GameFX, will continue to run the GameFX studio, and will be named chief technology officer of THQ. Davis currently is on the Technology Advisory Board of 3Dfx Interactive Inc., a leading 3-D chip technology company, and serves as an adviser to Intel Corp. on matters of 3-D technology and interactive entertainment.

"GameFX fills two key strategic goals for THQ, giving us ownership of a core technology in 3-D acceleration and a team of developers capable of making cutting-edge products at the high end of the PC game market," said Brian J.
