Dan, Without seeing real numbers, it's hard for me to make sense of it. But I suspect ammending this agreement is a method to avoid technical default this quarter. Note that the requirement for four consecutive quarters remains the same, which puts MU under the gun in future quarters. I don't know what effect the changing of the definition will have on that. Will they have to get the bankers to agree to amend the credit agreement next quarter too? I just had a thought -- do you suppose this was what initiated the "credit watch"? Katheen
