Results are very predictable.........70% will throw their proxy voting materials in nearest trash bin.

Result.....Board of Directors will direct shareholders votes toward their (Boards) proposals, resulting in:

1. Increase in shares outstanding

2. More long term incentives such as performance shares, stock options and restricted stocks for top execs.

3. Fatter compensation for Board of Directors, including annual retainers, individual meeting pay, stock options, retirement pay, etc, etc, etc.

4. Lower earnings/sh. as all of above is paid out to a very select few!!!

I always read my proxy material and I ALWAYS VOTE MY SHARES.
Contrary to common thinking, it is NOT DULL READING. In fact, some of it will make your hair stand on end and your blood boil when you see what some of these creeps are making, now and into the future. I second your request......please read and please vote!!!!!!!!!

This is standard practice amongst high tech firms where a lot of the compensation is in the form of options.

Higher number of shares is also needed for all stock splits, employee compensation in the high tech industry, etc. Plenty of good reasons for more shares.

Allow the A-team to do their job and judge them on their results. To date, the A-team and Cymer have been honest and open about their business (to a fault- order reorganization last fall). Do not restraint them from the tools they need to run a high growth company.
