Yes, I have reviewed the Proxy. Nothing earthshattering. Current/old employee stock option plan was awful, Senior Mgmt horded most of the options to themselves. Also, the increase in share authorization probably also covers the dilutive impact of Reg D's as well as future common stock offerings. I would expect that IF they are successful in closing 1-3 OEM's, they will probably require more cash to fund the ramp-up. It is no wonder why Ancor in the past had difficulty attracting good talent with their Mickey Mouse employee stock option plan. BTW, the new VP Worldwide sales has an impressive track record, including building revenues to approx $300 million via many, many OEM's. The OEM's included the likes of Cisco, Bay, etc, etc. The question I have is whether he did his own thorough due diligence before joining Ancor and what he saw in the Company ( besides probably a boatload of stock options )to entice him to join. If you look at the old Zitec press releases, he was promoted to VP Worldwide Sales at Zitec in Nov/97 and the press release talks about his track record/accomplishments at Zitec.The VP Int'l Sales ( Belzer ) and the 4 area sales directors domestic all report to new VP Pasqua. As I mentioned earlier the previous VP Domestic Sales ( Hermanson) was moved to Area Sales Director Central Region.

Regarding the timing of OEM announcements, your guess is as good as mine. People are more tightlipped than ever, I presume because they do not want to be forced into issuing a press release every time they lose out on an OEM bid. There have done a good job to quell rampant speculation. Even though my information is that Brocade won Sun ( contrary to what Roy is saying ), that doesn't necessarily mean that Sun/Brocade will issue a joint press release anytine soon.Similarly, Brocade won STK and that news has yet to become "official" via press release. Regarding Groupe Bull, the last I heard, Ancor's OEM deal was for the old line of microchannel-based Escala servers which was gradually being phased out were supposed to use the 266 mbps switch. I believe that Ancor is the leading contender to be used in the new Escala PCI-based configuration with MKII, but there are no guarantees in life. My guess is that Bull doesn't get resolved until second half 1998, but perhaps Janski/Srvhap have better information.

PS- as I stated yesterday, the potential of an IGS relationship may not be comprehended by this SI thread.Sometimes a reseller type arrangement may even exceed the size of a "OEM" agreement. I don't know much about Xylan, but IBM generated revenues are the backbone for Xylan's tremendous sales ramp over the past year.If somebody knows more about XYLN/IBM, feel free to chime in.
