Some thoughts..

existing Prfd A shareholders (us) MIDLP
will get a dividend of some number of shares of
"new" prfd A the bulk of which will be privately
placed with a money partner for construction of
2-3 DF-144 production facilities. New prfd A will be
convertible at some later date beyond 1999.

Lets do some dd on Maverick Engineering Inc.
who?..Where?..current projects etc.
