Could you please explain why borrowing a bunch of money and issuing millions of shares (when you've already got enough to do a 3-for-1 split without issuing additional shares) makes you suspect a deal?

Look at my posts on the Ascend thread about CPQ's huge additional share authorization. The request was announced and the vote completed not very long before the DEC deal. CPQ has lots of cash -- unlike AMZN -- so it didn't also need debt financing to accomodate the incorporation of DEC into its company.
