Veritas DGC sees Q3 shr $0.65 to $0.70

HOUSTON, April 24 (Reuters) - Veritas DGC Inc. said on Friday it expects to report earnings of $0.65 to $0.70 per share, on a fully
diluted basis, for the third quarter ended April 30, 1998, topping $0.32 a share from last year's third quarter.

Analysts had expected the provider of seismic data processing for the petroleum industry to report earnings of $0.49 a share for the
period, according to First Call's consensus of securities analysts' estimates.

Veritas said the higher earnings it expects to report are due primarily to the impact of high margin data library sales, although generally
all service groups are demonstrating strong performance.

The company will release its financial and operating results for its third quarter after the market closes on Thursday, May 28.

Veritas will have a telephone conference call to discuss the results at 1100 EDT.1500 GMT, on Friday, May 29th.
