Ltd. which is reproduced as follows:- "The Stock Exchange of Hong Kong Limited takes no responsibility for the contents of this announcement, makes no representation as to its accuracy or completeness and expressly disclaims any liability whatsoever for any loss howsoever arising from or in reliance upon the whole or any part of the contents of this announcement. C.P. POKPHAND CO LTD. (Incorporated in Bermuda with limited liability) This announcement concerns: (i) the recent decrease in the market price and increase in trading volume of the Company's shares; and (ii) a recent press report relating to the Company. The directors (the "Directors") of the C.P. Pokphand Co. Ltd. (the "Company") refer to the Company's press announcements of 23rd March, 1998, 2nd, 21st and 25th April, 1998 (the "Announcements"). Price and Turnover Movements The Directors have noted the decrease on 28th April, 1998 in the price and increase in trading volume of the shares of the Company and wish to state that, save for the matters previously referred to in the Announcements and the matters referred to herein, they are not aware of any reasons for such decrease in price or increase in trading volume. The Directors confirm that there are no negotiations or agreements relating to intended acquisitions or realisations which are discloseable under paragraph 3 of the Company's Listing Agreement.Other than the matters disclosed herein and previously disclosed in the Announcements, the Board is not aware of any matter discloseable under the general obligation imposed by paragraph 2 of the Company's Listing Agreement, which is or may be of a price-sensitive nature. Press Report The Directors refer to a certain article concerning the Company appearing today in the Hong Kong press referring to a statement made by "a member of management of Charoen Pokphand Group of Thailand" to the effect that the majority of the noteholders have agreed in principle to delay the exercise of theirrights under certain redemption notices previously issued by them.The Directors note that no statements to the press were made by any member of management of Charoen Pokphand Group of Thailand or any of the Directors, save for the statements contained in the Announcements.With respect to the position of the holders of certain floating rate notes issued by the Company (and its wholly-owned subsidiary, C.P. Pokphand (Finance) Co. Ltd.), the Company will confirm the position of these noteholders after the meetings which, as previously announced, will be held on 29th May, 1998.In so far as the article contains other statements concerning the Company, these appear to the Directors to repeat statements previously made by the Company in the Announcements.To the extent that the article refers to Charoen Pokphand Feedmill ("CPF"), it should be noted that the Company is the beneficial owner of approximately 25% of the issued share capital of CPF, which is incorporated in Thailand. The position of the Company remains as that stated in the Company's announcements dated 25th April, 1998.
