JDN, spoke with COO Steve Wilcox who returned my call and was very forthcoming with info. I'll keep this short and expound on it later.

1) Have numerous project proposals out but no contracts as yet, taking longer than expected. Said if they did get a contract tommorrow,it would take two weeks to prepare to start execution so revenues would likely not be recognized till 3rd quarter.

2) Further expansion of offshore facility is contingent on receiving Non-Y2k projects. Now, all of facility is being used for Y2k.

3) Still expects 2nd quarter to be positive but growth rate will slow due to above factors.

Note: Actual shares outstanding for 2nd quarter is 7,656,000(Incl conversion of preferred to common).

Those are the main points. My impression, they are honest but are just having a little trouble executing at this point, maybe just timing. Have to think about it.

Best Wishes,
Patricia
