Seems to be reverse merger twice because Megalith was merged into Overline. Overline was a pure shell. Megalith right now is a shell plus an operating company. Interesting..

Funny how You were able to get Your hands on an Edgar filing from 1988. Non electronically.. Wonder how to do this..

hehe found it ! Not the old filing in 1988 (more about that later) but this here from 10QSB for Megalith Corp (fka Overline) filed on Jul 1st 1996: let me quote :

"NOTE "B" Notes Payable to Bank and other obligations..
In February 1996 in exchange for canceling notes in the amnount of 529.960.00 company issued 900,000 shares of restricted common stock and 6499 shares of conv. prerered stock to a group of ACCREDITED INVESTORS. (perhaps the folks filing 144s now) In addition under a consulting agreement with SAMAD GROUP (!!) issued 45,000 shares of common stock and 787 shares of convertible preferred stock to Samad Group"

This was the SECOND referral of Yours to the "first ones" of MEGH. I guess (conclusion) 1988 the SAMAD group had a similiar thing with Overline. This means: Overline was owned by SAMAD and SAMAD brokered the reverse takeover with Megalith. And now they brokering something else, perhaps for themselves <G>
