CALHJ has asked me to post the following, which
is rather over my head, but here goes ...

"see Notice of Annual G.M. page 14; more than 2 million
shrs subject to stk option WITHIN 60 DAYS OF 3/30/98. Bender has 775.358. There has been selling pressure since the
recent high. This may explain a lot. "

"I miscounted. 1,501,978 shares subject to options exercisable within 60 days
of March 30, 1998 of which James Bender has 775,358 shrs. I believe some
investor(s) have been selling into the recent rally and after. The volume on
Wed was low all day and at the end of the day someone dumped some more: I
assume they would have dumped more earlier had the trading volume been able to
support the trade. Until the reasons for Bender exit are known it is a "red
flag".

4/9/98 Naegele, Richard J, 105,000 shares

My question remains the same. Why, if indeed the company is being sold for a higher price?

By the way, I'm "long" and want to know answer(s) to the above question.
