Be careful if you plan to print it out--105 pages on my printer. pg 1-7 The basic story 8-65 Full merger agreement in all its legal glory--most will probably not want this. 66 Details of RM shareholders, and who gets how much stock. 66-70 Promissory note to former RM holders--I see that interest may be paid in ICGN stock, but have not read all the details. 71-78 Security agreement for said note. 79=86 Pledge of all ICGN assets to secure said note. 87-105 More agreements--not yet read. It appears that shares issued to RM ar NOT registered, but ICC is to endeavor to register them (within 180 days?). Agreements appear to be fairly standard, but I would be interested in comments if we have any attorneys on the thread. Regards, Larry
