Prenegotiated prices would probably never HIT the bid. It would probably CROSS through a broker that negotiated the deal.

An entity or person or anyone, unless it's different for BB stocks, which it may very well be, has to register when they/it accumulates 5% or more of the ISSUED equity. Not just 5% of the float.

Anymore clarification available out there?
