In plain English... The earlier message was written in legalese! For complete explanations in English, refer to the news release dated February 5th, 1998 when the deal was first announced. www3.stockgroup.com The stock at that time was trading at $ 4.10 which explains the value of the transaction. Basically, the vendors get paid with shares valued at $ 4.10 if and when they produce profits. Not a bad deal all around. Have a very nice day. Pierre
