BACKGROUND
In 1996, Planet Entertainment, Inc. was formed to take advantage of this highly lucrative industry. The Company has various assets, however there are three major assets, first and foremost. the talent, background, and knowledge of the Company's President and Chief Executive Officer, Joseph Venneri.
Joseph Venneri is world renowned in the music and recording industry. With his thirty eight year background, Joseph Venneri brings to the table both domestic and international contacts within the entertainment industry.
Mr. Venneri began his highly successful career as an artist in the original musical group "The Tokens " whose career with RCA Records produced such hits as "The Lion Sleeps Tonight" (recently remade for the highlv successful Walt Disnev Production "The Lion King"), "Tonight I Fell In Love. " and "Portrait of 'My Love" which became a "Top Ten" Hit in the United States.
Mr. Venneri's talents range across the entire spectrum of the music industry. He is a proven natural as a musician, with talent spanning from writer, producer, and engineer to a Master in "World Class " Studio Design and Building.
His experience in the recording industry is unsurpassed in engineering, producing and/or writing for such major artists such as: Cher, Michael Bolton, Sammy Davis Jr., Roger Miller, Jerry Lee Lewis, Johnny Cash, Bob Marley, Chuck Berry, The Rolling Stones, Tony Bennet, Neil Diamond, Gladys Knight and the Pips, Kenny Rogers, Willie Nelson, Pavarotti and the list goes on and on. He has produced, engineered or co-produced more than 100 Gold Records during his thirty eight years in the music business.
His latest endeavor being the co-producer of the Bob Marley CD entitled; "Soul Almighty" which is now Platinum and according to "Billboard" Magazine's June 22, 1996 issue is Number 1 in "Top Reggae Albums."
As if that wasn't enough, the Companies second asset is that in this thirty eight year period, Mr. Venneri has accumulated a "Master Catalog" of in excess of 15,000 original recordings. These original recordings may be reproduced in a variety of highly profitable transactions such as redistribution of the original recording, remakes with different artists or the potential sale to a major label (which is a customary practice in the record industry).
The stronger the catalog, the greater the acquisition price. Another avenue being the motion picture industry which frequently uses prior recorded hits as themes and background music for their films (The "Lion King" a prime example).
The Companies third major asset being its expertise and technology which will failitate taking advantage of the "Enhanced CD' market. The Enhanced CD combines traditional audio CD tracks with computer based CD-ROM data such as video, lyrics. photographs, discography's. and text.
This new format allows for a single compact disc to play traditional audio tracks on any CD audio player and, in addition, the same disc can be enjoyed on multimedia computers. Therefore, one single compact disc, Enhanced CD. can be released for playback on CD audio players and multimedia computers.

CONCEPT
The Company currently produces. licenses, acquires, markets and distributes high quality recorded music for all varieties of music, video and motion picture formats. The Company and its wholly-owned subsidiaries currently produce music for the Adult Contemporary. Classical. Country, Gospel. Blues, Rock & Roll, Rap and Reggae formats. primarily under the Ornyx Records. Planet Entertainment, Century Records, Black Tiger, Magnum and the Higher Ground Labels.
The Company specializes in markets both domestic and international that the company based in its own experience, industrv sources. and sales figures, offer growth and the maximum profit potential. The Company has targeted Gospel as an example of such a market with the recent acquisition of "Higher Ground," which has been in the Gospel music business for approximately 10 vears, with many songs cunently on the charts today. Higher Ground is an example of how the Company plans to acquire additional catalogs. The Company is currently seeking additional catalogs for purchase or leasing rights.
The Company also expects other markets, such as restoration of "Old Masters" leading to rerecordings to become an increasing percentage of net revenues. The Company, through its own production studio, Panther Studios, located in Jackson, New Jersey is set to release recordings in almost all music venues from current catalogs owned and licensed.
Planet Entertainment, Inc. is rapidly moving into its marketing of it's Master Catalog and its ability to develop the catalog with the Enhanced CD. The Company plans on generating 100 compilation albums from its existing catalog per year and 5 albums with new talent per year as well.

Many opportunities exist within a merchandising-communication niche of the entertainment industry for corporations that are streamlined, efficient and experienced- corporations, that have products of high quality, sustainable shelf life and the means to deliver them expeditiously.
Planet's focus has been to both identify a film industry niche and to fill it. To effect that purpose, Planet adopted a business strategy based upon an extensive film library totaling, 600 and negotiating an additional 2,000 films on a joint venture/purchase status. The titles respecting these motion pictures and television series represent the combined work of internationally renowned artists and directors spanning several decades of achievement.
These renowned artists, include: Edward G. Robinson, Mickey Rooney, Peter Lorre, Cary Grant, Alfred Hitchcock, Gloria Swanson, Irene Dunn, Buster Keaton, Audrey Hepburn, John Wayne, Lon Chaney, Charles Bronson, Joe Done Baker, Richard Burton, Lloyd Bridges, Roger Moore, Telly Savalas, Burt Reynolds, Yul Brenner, George Segal, George C. Broadcast and sell-through videos containing motion pictures, television series, and educational programming packaged for consumer entertainment and informational value has instilled new life within the entertainment industry.
The emergence of the Information Age, and the rapidly changing social, economic, and technological landscape has created new and demanding markets for Classic films which now have several additional lives due to broadcast, home videotape and laserdisc. Even more revenue avenues can be expected as the new DVD becomes a reality this year and will turn over the entire library into this new format which will become a key corporation asset and revenue producer.
As technology has developed and consumer awareness has grown, the Video market has matured due to the rapid proliferation of both broadcast and retail venues. Broadcast and sell-through videos of motion pictures, televison series, and educational programming packaged for consumer entertainmeM and informational value (as content for the Information Highway) have instilled new life within the entertainment industry.
The emergence of the Information Age and its continuous requirement for content have created new and demanding markets for films which now have several additional lives due to (among other matters), broadcast, home videotape, laserdisc, CD ROM and Video On Demand. Additional revenue avenues can be expected as further electronic and retail technologies emerge such as: Smart TV, DVD and White Book.
DEMAND FOR MEDIA LIBRARIES HEATS UP
The value of film and music libraries has increased dramatically in recent years with the advent of cable television networks, home video and satellite networks. Demand for programming is straining supply, creating a renaissance of classic films and earlier music productions. Media libraries have now become one of Hollywood's - and Wall Street's-most sought after asset.
When Viacom acquired Paramount Communications, it paid an estimated $3 billion for Paramount's film library which contains some 1,000 feature film and television programs. In many instances, Paramount did not actually own the films, but only the distribution rights.
Turner Broadcasting acquired the Hanna-Barbera animation library for more than $300 million. Turner also acquired two producers of feature films with a total cost exceeding $450 million. The combined libraries of these two companies contain fewer than 300 features.
Most of the larger recorded music recorded music businesses came under new ownership during the past decade. Large audio equipment manufacturers- Sony, Matsushita, and Phillips- have acquired various recorded music businesses.
DOMESTIC & INTERNATIONAL MARKETS
Standard & Poor's estimates that US consumers spent $42 billion of filmed entertainment last year. Cable TV service accounts for about half of the amount, followed by the rental or purchase for video tapes (just under 40%) and movie theater tickets (abut 14%). This is in addition to the billions consumers pay indirectly for network TV programming.
The international demand for film and music entertainment has reached new levels, fueled by the advent of new media technologies and the deregulation of national broadcasting systems. The European market alone contains some 350 million viewers-50% more that the United States. Several areas of the world, such as the People's Republic of China, are opening to a variety of US entertainment sources for the first time.
The advent of home video dramatically increased demand for films new and old. Worldwide home video now supplies 40-45% of film distributors' revenues.
The computer version of the compact disc, the "CD-ROM", allows large amounts of data to be accessed quickly and easily. Last year,15 million computers were sold with CD-ROM drives-more than doubled the amount sold in 1995-and virtually all new home computers come standard with these drives. This year,1997, with the advent of the DVD-ROM, computers will have access to full motion video, the future of film libraries.
