Matt,
Thanks for posting the info but it's all stuff that was known
6 months ago. Did you know that mostly all companies that perform
reverse mergers issue a prospectus some time before the merger is
completed? And that in this prospectus the details of the merger are
made known to prospective investors? Also the parties involved in
the merger are described? Will we see a prospectus this week?Who knows.

As a textbook example, look at Buffalo Capital IV's acquisition of CSMA. Buff Cap is one of a group of shells created solely for merging.

It is clean, has few assets/shareholder/shares, it is public and reporting. CSMA had the assets and the business, was public but its shell was shall we say suspect. Rather than try to resolve those issues, long and involved and indeterminate, they chose to be acquired by Buff Cap, with 5% dilution paid to Buff Cap's shareholder(s).
