I would be surprised to see the merger with Discreet Logic go through. As an MGI shareholder, I just don't see why I should accept significantly less for my shares than what it was trading for prior to the announcement.

I just voted my shares to oppose the merger. I hope others do the same. Maybe then we can extract fair value for MGI.

This whole deal seems to be driven more by Intel's need for software development for the multimedia features of Pentium and Merced chips than what's best for either of the companies. If Intel is also in bed with their competitors, then hopefully its influence will wane. There must be other potential suitors out there for MGI that provide a better fit than Discreet which has virtually no experience in low-end consumer markets.

I sold my MGI shares the day after the DIscreet earnings announcement. Clearly DIscreet knew they were short for the quarter when they made their offer for MGI. Shortly after the MGI acquisition announcement Discreet's share price went down. I don't think this was due to the MGI takeover news but rather the news of Discreet's impending bad quarter got out to the "informed". I don't like owning companies that do business like this. As an investor I want as a level playing field as possible. If they weren't going to meet the quarter's estimates they should have made the news public and it should have been factored into the MGI offer. Therefore I sold.
