Seems as though the prevailing attitude is if WOTD pulls out of the deal, it would be no great loss to CVIA.

I have been considering taking my company public and have been shopping shells also, the more I research this the more I think 2+2=12 with what WOTD is saying and doing, very little to nothing is adding up on these guys.... my point being is I have found one shell that cost $80,000 for 90% of the outstanding shares, (being offered by the old management regime.) This particular shell has an additional 11 million shares that could be issued.

Now shell acquisition takes about a month, MAX so why are we playing this game of.

1. A 300 to 1 reverse split?

2. 46 million shares that can delute the "old" 100,000,000 shares 90%.

3. a $500,000 reg S issue.

4. 6 months of bumbling and fumbling still no progress news.

5. No news of who, what, or how WOTD is going to be a $200,000,000 company in less than 5 years.

6. Somewheres between 1 and 10 mergers, in the next "few" months. Yet no one has told us about it, other than "we plan to do it," (whoa cool I think I will plan on winning lotto this week) saying and planning is 180 degrees of of actually doing it.

7. No SEC filing on this deal. (yet)

8. No NASD filings re the symbol change.

9. No one from either company has contacted the TA about the reverse split or the terms of the new float, the new company name symbol or anything else.

10. From what I can tell WOTD is no longer a valid corporation in the State of Washington... could be a clerical error, could be a valid entry.

11. Is Keith a CVIA employee? and if not why is he handling so much of the IR... if he is not an employee then he is not responsible for the accuracy of the content of what he is saying, he could say anything and not worry about it, and not get penalized.

12. Is WOTD anything but an empty shell company with big ideas, or do they bring assets to CVIA as well?

I can go on but this is enough to chew on for the next few days... something about this deal just isnt adding up... as the winds of opinion change, I am starting to feel like I am standing down wind of the garbage dump, because certain things just arent passing the "smell test".
