Concerns about possible de-listing.

The concerns about a possible de-listing are real. I was a shareholder of Accugraph (TSE: ACU.A/ NASDAQ:ACCUF) and they were about to be de-listed from NASDAQ according to their recently filed 1997 10-K. Of course, all of that is now academic as ACCUF is being acquired by Architel and the de-listing has become irrelevant.

There is no doubt in my mind that the pending de-listing played a part in Accugraph seeking out a buyout partner and at a very cheap price. The company's 10-K clearly stated that if the stock did not trade at a bid price of $1 or better for 10 consecutive trading sessions between, I believe March and May, then the stock would be de-listed.

PS That probably explains all of the promotional work done by Softquad in the last few weeks. There is always the TSE listing but there is no doubt a de-listing from NASDAQ would send the wrong signal. I hope this helps to clear up some of the questions surrounding the new NASDAQ listing requirements.

Then you would rather move the to the pink sheets than be delisted? While I agree the aroma of reverse split may be a bit odoriforous, I do think being delisted from NASDAQ will drive the stock down - some individual (U.S.) investors will not hold pink sheet stocks or rely on the Toronto Exchange. So while I understand and respect your point, I actually hope it is a proxy point OR that SWEBF has chosen to move to the AMEX.....Just MHO.....SemiBull
