U.S. HEADLINE STOCKS - Issues to watch May 4

NEW YORK, May 4 (Reuters) - Issues to watch this morning:

-- Dana Corp. (DCN - news) will buy Echlin Inc. (ECH - news) for about $55 per share in a deal valued at about $4.2 billion.
Dana's shares closed Friday in New York at 59-3/16. Echlin closed at 47-9/16.

-- Pfizer Inc. (PFE - news). has signed a deal with R.P. Scherer Corp. (SHR - news) to help develop a faster-acting version of
Viagra, the hot-selling new anti-impotence drug, the Wall Street Journal reported Monday. Pfizer shares closed Friday at
112-11/16.

-- Boeing Co. (BA - news) is expected Monday to announce it is taking an equity stake in the proposed $1.4 billion Ellipso satellite
mobile-phone project and that it will become the project's prime contractor, the Wall Street Journal reported. Boeing shares closed
at 51-9/16.

-- Microsoft Corp. (MSFT - news). is warning Wall Street that any action by the U.S. Justice Department to delay the arrival of its
Windows 98 operating system could have ''broad, negative consequences'' for the entire personal computer industry, the Wall
Street Journal reported. Microsoft shares closed at 89-10/16.

-- 3Com Corp. (COMS - news). said Monday that Tele-Communications
Inc. (TCOMA - news).'s (TCOMB - news) TCI.NET division has chosen 3Com
to provide high-speed cable modems and broadband networking equipment
for TCI's rollout of residential market multimedia services. 3Com
shares closed at 34-1/16. TCI ended at 34-6/16.
