Scott, thanks for your response. Do you believe that the preferred stock dividend should have been deducted from the cash offering and NOT 3/98 income earned?

with the purpose of lowering the stock price. They may have
accepted the danger as a side-effect of an action taken for
some other reason."

My suggestion of stock options was one I can think of to support
such an action.
There seem to be several why I wouldn't want to lower the price.

1. Takeover by 3rd party at cheaper valuation. I don't see
any poison pill in their plan.
2. Holding investors / underwriters get p#ssed off at having
to show a loss on paper.. lose investor loyalty.
3. Greater difficulty in obtaining credit based on record.
from investment banks.

I have discounted that COMMAND management are "freshies" at
business as was suggested earlier as I mentioned that
Caputo has 1 profit deal to his record. Team members are veterans
with experience and not new.

By the way I read your earlier mail about the Euro boosting
CMND business. I believe since they seem to want to veer away
from Y2K having ridden an earlier trend, it is possible but
unlikely that Euro will be their focus - except as part of
ongoing client projects. Caputo keeps harping on the issue of
Y2K moving away from "changing code" to "testing code". I
understand some but not all the ramifications of his statement.

Also CMND owns only 49% of the Indian subsidiary: so again I don't understand what is their liability there. Well we'll see the stock
has stabilized around 6-7 so I am sure - cool, rational thinking
will now prevail.
