Really? Could you provide the source of this information? Nasdaq informed me that a Company that has never registered a share with the SEC can not be listed, regardless of who they Merge/Acquire. If DGIV is acquired then that is a different issue. Did Nasdaq tell you differently? Do you truly think that Nasdaq accepts companies that have never filed an accepted SEC doc? Your scenario would most likely result in the acquired company being de-listed, as opposed to DGIV instantly being on Nasdaq, it does not happen that way.
