Hayes Corporation and Bay Networks Enter Strategic Cable Modem Manufacturing, Joint
Development and Distribution Relationship

Long-term Agreement to Manufacture, Distribute, and Sell Cable Modem Products

ATLANTA, May 4, /PRNewswire/ -- Bay Networks (NYSE: BAY - news) and Hayes Corporation (Nasdaq: HAYZ - news) today announced that they have
entered into a comprehensive agreement covering the manufacture, marketing, channel distribution, and sale of Bay Networks' broadband cable modem designs.
Under the terms of the agreement, Bay Networks has licensed Hayes to manufacture its current LCP cable modem as well as its next generation, DOCSIS
standard-based (MCNS), cable modem design. Hayes license includes a right to distribute both modem versions through its network of retail partners. In addition,
the companies will collaborate on the development of new, added-value, data-over-cable products and technologies.

Bay Networks is an industry pioneer in developing data over cable technology. It has a significant installed base for its LCP line of cable modems and expects
record sales this year. In addition, Bay Networks is one of the vendor-authors of the DOCSIS standard and will continue to develop leading edge
data-over-broadband and IP services products for the cable industry. Hayes, a leader in manufacturing and distributing innovative, high-quality, low-cost, computer
products will focus on making economical cable modem technology available to consumers through a variety of retail outlets.

Hayes will become both a manufacturer and supplier to Bay Networks. This agreement authorizes Hayes to manufacture and sell Bay Networks-designed
DOCSIS-compliant cable modems under its own brand names and through its extensive distribution channels. Hayes expects to begin building DOCSIS-based
modems in May for sale as early as the third quarter of 1998. Both modems will be sold by Bay Networks and Hayes. Bay Networks will continue to provide the
head end and networking products for its proprietary and DOCSIS-compliant systems.

Bay Networks and Hayes will collaborate to develop affordable, value-added, data-over-cable products that can contribute to rapid growth in the market for
cable-based data services. The companies will collaborate on cost reduction and future enhancements to meet the demands of a growing consumer and business
market. Future development will be focused on technical enhancements in areas such as telephony return options, USB, security and voice. These features, along
with cost reductions, will allow both companies to meet future requirements of the retail market for standards-based cable modems.

interoperable, cable modems readily available to consumers through their neighborhood computer retailer,'' said Karl May, Vice President and General Manager of
the Broadband Technology division at Bay Networks. ''The Bay Networks head end was recently selected by TCI for their two-way DOCSIS standards-based
cable plans. With Hayes considerable expertise in high-volume manufacturing, service, support, and distribution, our customers will now be able to purchase
modems either directly from Bay Networks or from Hayes through its retailers or VARs.''

Hayes and Bay Networks will support cable operators in geographic regions that are launching broadband services. Both companies expect retail availability of
DOCSIS-based modems to evolve quickly, relieving cable operators of the need to finance and inventory them. Consumers that have access to data-over-cable
services will be able to purchase cable modems directly from a local retailer. Hayes also announced today a comprehensive retail cable modem distribution strategy
with Computer City.

JDN, good grief, the guy wants to know why BAY fell from 25 to 23 7/8! Gimme a break. Now why it fell from 41 to 23 is a valid discussion. And we know the answer. Because top-line revenue growth suddenly came to a screeching halt. But who cares why it lost or gained a point? Now, I do think the increase in volume of late is more meaningful. Of course, I'm edgy! This stock sucks! We all hate it at this point. We all wish we'd bought CSCO. But I'll tell you something. I am buying a house next month, but if I weren't there are two stocks in my portfolio that I would be adding to big time: BAY and SUNW. Both are horribly undervalued and misunderstood.
