Not sure how the market generally reacts to this type of news. I have always thought this did more to protect management than shareholders, so my initial reaction was negative. To the extent that the market believes that this move was prompted by serious potential buyers, the news could be viewed favorably. There were no trades made after the announcement but the last trade in the after hours market was at 10 3/8 which was above the last asking price of the day. Hopefully, this is a good omen.

Don & all - probably "yawn" with a negative bias. Right Plan is a byproduct of the 80s, it is fairly passe these days. However, such an action kinda nudge me closer to Calvin's camp that the top brass is more interested in protecting themselves with *right plans* and *parachutes* than to enhance shareholder values. No, I m not desperate enough to wish for whiteknights and raiders; however, regardless of a co's stock performance, its goal is to enhance shareholder values by way of executing a good [long range] business plan. *Right Plan* is fairly meaningless without mgt performance to back up its device.

On a separate note, since I am also a *proud* <ironic grin> owner of APM, I don't think IBM/WDC deal will impact CRUS that much since WDC's action is likely to secure its source of GMR
