Advanced Radio Telecom Corp. Adopts Shareholder Rights Plan

BELLEVUE, WASHINGTON (July 1, 1997)

Advanced Radio Telecom Corp. ("ART") (NASDAQ: ARTT) today announced that its Board of Directors has adopted a shareholder rights plan.

The Board declared a distribution of one right for each share of common stock outstanding on July 3, 1997. Stock issued after that date will be issued with an attached right. Each right will entitle the holder, upon the occurrence of certain events, to purchase 1/100th of a share of preferred stock at an initial exercise price of $90. The rights will be exercisable only if a person or group acquires or announces a tender offer or exchange offer for 15% or more of ART's then outstanding common stock together with any then outstanding warrants issued pursuant to Warrant Agreements dated as of February 6, 1997 and November 11, 1996.

The Board may, at any time, redeem the rights until their expiration on June 20, 2007, and may amend the rights until they become exercisable. Distribution of the rights is not a taxable event to shareholders. Additional details regarding the shareholder rights plan will be outlined in a letter that will be mailed to all shareholders.

Vernon L. Fotheringham, Chairman, President and Chief Executive Officer, said, "The shareholder rights plan is designed to assure that all of Advanced Radio Telecom's shareholders receive fair and equitable treatment in the event of an unsolicited attempt to acquire the company. The Board is not aware of any present takeover threat or proposal."
