Nor am I a lawyer. But many moons ago I had a dusty series seven. It seems to me the SEC regulates the EXCHANGE only. I do not think they have the power to regulate the private transaction of two individuals. Now if the stock is held in the street name it might
be difficult or perhaps not legally binding if two people entered into an agreement to transfer ownership of shares at a mutually acceptable price. If I was in possession of the shares it would cause me real heartburn if the SEC said I could not sell them to a willing
buyer.
