Good morning, Jeff - a lot of water has already passed under the bridge. Now, we'll watch how Messr Hackworth & co respond to the Teo's response. For discussion sake, however, right plan does not protect employees in any direct way. I mean, there is no correlation between a right plan and employee security under the same adminstration. Yes, it is a measure against raiders, as both of us have acknowledged - and I should add that I personally do not support any raiding of a co, even if I'd profit from it. Protection for shareholders? Maybe. Management? Definitely yes! But employees? Maybe inadvertently. in the sense that mgt wants to maintain status quo. Rgds Bosco
