I know nothing about the April 15th "S-1", but I have been told that the March Reg D stockholders are in the process of giving Wave about two weeks time to work out an orderly transition by selling those shares to other interested investors. I don't know if this will indeed be consummated in time to keep these shares (roughly 2.8 million) off the open market, so it is possible, I suppose, that they could be sold slowly into a market like today's or they could be unloaded into a rising market on good news. None of the above three scenarios are welcome (like printing money), but its impact should be only temporary when you look at the long term potential of the company.

I understand that Wave is talking with some prominent investment banking firms to possibly do a secondary offering for infrastructure development so maybe that has something to do with the "S-1". These investment bankers would likely underwrite a big dollar deal at a higher stock price - after a major announcement - and would attract much attention from the overall investment community. I understand that the current Reg D 'orderly conversion' situation is too premature and also not big enough to interest them.

This is the best I can explain it as one who is not well versed with these types of financings.
