According to the 10K, the actual shares issued and outstanding as of 12/31/97 were 9,286,905. However, for accounting purposes they use a weighted average when measuring eps because all those shares were not outstanding for the entire year (remember 2,293,995 of these shares were a result of the W.C. on 12/22/97). This is why you are seeing a different # on the financial statements.

The .16 eps is the net income before extraordinary item (gain on extinguishment of debt) on a fully diluted basis. Including the gain the eps were .21/sh.
