Definitely the shareholders vote. One share/one vote. Usually, depending on corporate by-laws and laws of the state of incorporation, a super-majority of varying percent is required for a forced buy-in of minority shareholders.

This is from old memories from a former career, but I think it's correct.

If the price is not suitable to a healthy majority of shareholders, no deal will fly.
