NEW YORK, May 8 (Reuters) - International Business Machines Corp is expected to
announce on Friday it will offer free upgrades to Microsoft Corp's (MSFT - news) Windows
98 operating system on certain home personal computers purchased ahead of the software's
scheduled release in June.

An IBM spokesman declined to comment but sources familiar with the plan confirmed a free
upgrade promotion would be announced as soon as today, or early next week.

Some other personal computer companies are offering steep discounts on upgrades. Compaq
Computer Corp (CPQ - news), for example, plans to run a coupon program that will allow PC
buyers to order Windows 98 upgrades for $29.95.

The Compaq promotion is already underway and slated to run until the end of September,
when the company expects all systems will be loaded with the new software.

The upgrades are part of an effort by PC makers to address customers' reluctance to purchase
systems before widespread availability of Windows 98.

What is unclear is how any potential government action to delay the software would have on
the promotional efforts.

Early Friday, a source familiar with a joint effort by a group of state attorney's general said
the states would not seek to block the launch of Windows 98.
