**************SHARE HOLDERS RIGHTS******************** Straight out of the SEC/NASD manual. Voting (proxy) Shareholders have the right to vote on matters which affect the corporation. These matters would include changes to the corporate charter, selection of the board of directors, acquiring or mergering with another company, stock split, ect,: but not in descisions concerning the declaration of dividends, the amount of dividend to be paid or stock repurchases, which are decided by the board of directors. ***************************************************************** There you have it folks, they changed the corporate charter and increased the outstanding shares with out a vote. Read the first proxy vote, it clearly does not give them the power to do this, this is per the securities lawyer. ** We did a $500,000 Reg S in Dec/Jan with our permission, they tried to shove a 300-1 reverse split in April without a proxy vote (illegal) and now this (illegally).... Jack has to go, it is clear he does not know what he is doing and I am ready to demand a proxy vote for his removial........ there are more share holder rights I will post in a minute, (let my fingers cool off first) <g> Also I was just told the DEC proxy vote results was never filed with the SEC.... no verifaction no chance for a shareholder reveiw BIG SCREW UP KAA
