I contacted Digital IR about a month ago regarding this same subject. They told me the proxy must be authorized by the SEC. They then told me the FTC process would proceed with the proxy process in parallel.
IMO, I don't believe the FTC has approved yet, but I could be wrong. The SEC approval is not as significant as the FTC approval, and I believe more news would have been made of this.

rudedog ----This is what I was looking for the other day --- something similar ---"Lucent Technologies Gets FTC Clearance to Buy Yurie Systems" --- I would think if the deal had been approved at least a headline for such a large deal would have been issued . Still wondering if it has been approved --- everything looks to be on schedule but no confirmation
