8) News would have been released before now, but the pressure from the SEC has the laywers involved now, and they will carefully screen even the tinies detail in all forthcoming press releases.

It should have never gotten to this point, if this deal is a stinky deal, and we are not treated fairly they wont just magically go away.

1) There are *no* new authorized shares.. The post-reverse--split shares will be used for the reg S.
This first point has be worried a tad...

Assuming the reverse ratio stands, then this statement still applies. The total number of outstanding shares after the reverse will be approximately 390,000 shares. The total authorized number of shares will be reduced from 150,000,000 to a total of 50,000,000 authorized.

So before the 105 days are up, assuming a post reverse price of $3, what's going to prevent shorting against this Reg S down to $1 or below so as to maximize their converted shares. We could see the float triple to quadruple in size for that lousy $1M.

Why couldn't they acquire one business, show some earnings, do an SEC 10Q AND THEN do this second Reg S?

Still don't like it, and still don't know what we're gonna get for this $1.5M we have sitting in the bank.

In response to point two in the referenced message about the 105
day wait for some of the shares- more bunko. One third convert in 30
days- $380,000.00 worth. The first reg-s bashing was for $500,000.00
so this is only 20% less severe. 30 days later another 380,000 wuping
comes due and yes, some of the shares convert approximately 105 days from now. 30 days is the first hurdle but you can be assured of watching your money stagnate (at best) for 105 days. My opinion only,
but it's some stretch calling this an investment at his point. Even if
you could make a slim case for it there has to be a better place to
put your money. IMO, regards,p.b.
