Something I forgot to mention:

If there is any truth to my theory, then the one consolation may be that the likely downside on the stock from here is $2.05, which equals the recent financing price.

I must agree with your theory but must also add that the promoters are not only selling to keep the price down for the purpose of pricing the PP but because they will take down a good chunk of it. Did somebody say European investors were going to be in the deal? The old finger story again.
